A borrows money from B, and is alleged of failing to repay the loan and interest on the deadline. A later ask for B to reduce the repayment. If the statement is not "without prejudice" (and without considering consideration problems), B might use this statement against A in court. By stating the statement is without prejudice, B cannot use A's statement as evidence. This encourages negotiation and alternative dispute resolution instead of litigation and reduces burden on judicial resources.
